Ethan Allen Trade Program Terms & Conditions
The Ethan Allen Trade Program (“Trade Program”) is established by Ethan Allen Retail, Inc. (“Ethan Allen”) to provide financial incentives for certain professional interior designers, home stagers, real estate agents, architects and builders to have their referred clients purchase Ethan Allen branded furniture and home furnishings. The following terms and conditions govern membership in the Trade Program and the financial incentives applicable to each class of member based upon the value of Ethan Allen products purchased.
Independent retailers that are authorized to conduct business as an Ethan Allen Design Center for the sale of Ethan Allen branded furniture and home furnishings (an “Authorized Independent Retailer”) reserve the right to participate in the Trade Program. Stated incentives associated with orders placed in Ethan Allen Design Centers owned and operated by an Authorized Independent Retailers may differ from rates referenced below. Please consult with the Authorized Independent Retailer regarding their participation in the Trade Program and the amount of the offered incentives.
Membership: The Trade Program is open to professional interior designers, home stagers, real estate agents, architects, and builders, subject to the following conditions:
- Ethan Allen reserves the right to make all Trade Program membership determinations at its sole discretion. Each eligible individual must apply for membership; no company-wide or group membership will be granted.
- Membership approval is contingent upon receipt of approved credentials and a completed application. If Trade members have their own employees, each of their employees must individually apply for Trade Program membership.
- Current employees of Ethan Allen Retail Inc. (including its parent or related entities), or an Authorized Independent Retailer are not eligible to participate in the Trade Program.
- A former employee of Ethan Allen or an Authorized Independent Retailer will become eligible for Trade Program membership no sooner than 12 months following the most recent termination of employment with Ethan Allen or the Authorized Independent Retailer in good standing. If the former employee then conducts independent business with past Ethan Allen clients after termination of employment with Ethan Allen or an Authorized Independent Retailer, orders placed on behalf of past Ethan Allen clients will not be eligible for Trade incentives.
Upon acceptance into the Trade Program, members shall receive incentives according to the following conditions:
- Interior designers: On cumulative Ethan Allen written orders by referred clients at advertised retail prices (or Ethan Allen advertised reduced prices): an incentive of 7% cash back on cumulative Ethan Allen merchandise totals up to $25,000 beginning July 1 of each year. Upon attaining more than $25,000 in cumulative merchandise totals, the incentive rate will increase to 10% on merchandise totals in excess of $25,000. Commission is paid on merchandise total, which does not include sales tax and delivery fees. The cumulative amount shall be reset annually every July 1 to 7%.
- Home stagers, builders, real estate agents, and architects: On Ethan Allen written orders by the referred client at Ethan Allen advertised retail prices: an incentive of 2% cash back on Ethan Allen merchandise totals at Ethan Allen advertised retail prices (or Ethan Allen advertised reduced prices). Commission is paid on merchandise total, which does not include sales tax and delivery fees.
- Ethan Allen reserves the right to examine all written orders placed by referred clients and to adjust incentives if it determines, in the exercise of its sound business judgment, that the Trade member has engaged in business practices intended only to artificially inflate the amount of written orders as evidenced by, among other things, cancellation of a large number of written orders.
- All payments of Trade Program incentives are income earned by the Trade Program member and shall be reported by Ethan Allen to federal and state authorities by the issuance of all appropriate federal and state tax reporting forms.
- Clearance items are excluded from Trade Program incentives.
- Referred client purchases do not qualify for tax exemption unless the referred client has their own tax-exempt certificate. A Trade member’s tax-exempt certificate cannot be used by referred clients.
In order to receive Trade Program incentives, the member must ensure the following:
- The referred client’s written order originates from a retail Design Center operated either by Ethan Allen Retail, Inc. or by an Authorized Independent Retailer that has determined, in the exercise of its discretion, to participate in the Trade Program. Written orders placed with an Authorized Independent Retailer that does not participate in the Trade Program are not eligible for incentives.
- Referred client purchases must be made when the member is present or when the member has coordinated an appointment between the referred client and the Ethan Allen Design Center.
- The member’s Ethan Allen-issued Vendor ID must be provided in the participating Design Center when the order is placed.
- If a member chooses to place an online order at ethanallen.com for a referred client, the member must be logged into the member’s ethanallen.com account when placing the referred client’s order and must use the referred client’s form of payment.
It is the sole responsibility of the Trade Program member to advise the Ethan Allen Design Center of the referred client’s written order or to process the referred client’s order correctly on ethanallen.com. The incentive shall not be earned unless the Trade Program member has provided the Trade Program’s member’s Ethan Allen issued Vendor ID to the Design Center, or the Trade Program member was logged into their ethanallen.com account for an online purchase.
The incentive fees earned by the Trade member are based upon written orders and shall be paid on or around the 15th of the month following the month of delivery of merchandise included in the written order, subject to adjustments for canceled orders, product returns, accommodations, or adjustments.
All written orders shall be at the then-current retail prices in effect either at the authorized participating Design Center where the purchase is made or on ethanallen.com.
Membership is a privilege and is not transferable. The Vendor ID may only be used at a participating Ethan Allen Design Center or Authorized Independent Retailer for referred client purchases and may only be used if the membership is current at time of purchase. The Vendor ID may not be used for purchases made during certain special events, such as warehouse or clearance sales, or through any rewards program or other similar types of events, at Ethan Allen’s sole discretion.
Misuse of membership will result in membership termination. Misuse includes, without limitation: unauthorized use of Ethan Allen’s trademarks or proprietary information; false or disparaging representations concerning Ethan Allen products or services; use of membership for personal purchases; transfer of membership; allowing others, with the exception of referred clients according to the conditions set forth above, to use the member’s Vendor ID; and submitting false, expired, or misleading information in connection with a membership application or client referral.
In no event will Ethan Allen or an Authorized Independent Retailer be liable for any loss of profits, loss of use, incidental, consequential, indirect, or special damages arising out of the Trade Program, whether or not such party had advance notice of the possibility of such damages. This Agreement shall be construed and controlled by the laws of Connecticut. Any litigation arising out of this Agreement shall take place in Connecticut, and all parties irrevocably consent to jurisdiction of the state and federal courts in Fairfield County, Connecticut. Ethan Allen’s liability for any action under this Agreement shall be limited to $10,000.

Ethan Allen reserves the right to terminate the Trade Program or any membership at any time, without notice. Ethan Allen may also alter or cancel the Trade Program or change these Terms and Conditions from time to time, without notice. Ethan Allen will post changes to the Trade Program at ethanallen.com/trade. Any changed Terms and Conditions become effective immediately upon being posted, and your continued use of your membership constitutes your agreement to the then-current Terms and Conditions.
The Trade Program applicant agrees to these Terms and Conditions and, by applying for membership, affirms that they are not, at the time of application and for 12 months prior to applying, affiliated with Ethan Allen or an Authorized Independent Retailer of Ethan Allen, and nothing herein shall be construed to create in any manner whatsoever any employer-employee, principal-agent, partnership, or joint venture relationship between Ethan Allen or an authorized independent retailer and a Trade Program member or any of a member’s agents, subcontractors, or employees. By participating in this Trade Program, members will make necessary disclosures, if any, to their clients and/or brokers.
